Would this be compatible with the Gigabyte G41M-ES2L?

Also, my processor is the Intel Pentium E5400 (2.70ghz) overclocked at 3.50. Would that create any problems?

Yes, it's compatible and yes, changing the RAM in an overclocked system can cause instability in the overclock and without adjusting the timings and voltages can cause your system to BSOD or to fail.
