Yes that's perfectly fine although beware, this ram is VERY large. You might have issues if you are using an after-market cooler.

It should be, depending on what RAM you have (large heatsinks).

Basically... P67 – You need a graphics card for this chipset – onboard graphics is disabled, however overclocking is enabled.
Z68 – Onboard graphics are enabled, as is overclocking
