Hello Jake, you should not come across any issues. If you do the retention clips on the heat-sink for the fan can easily be adjusted to make the fan sit a little higher allowing your RAM to fit.

Decided it was time for a cooling upgrade for my aging, but still fairly capable Athlon II X4 640. Decided on this cooler as a good in the middle priced option and having a much great TDP cooling efficiency than i would need.
Installation was straight forward after a quick glance at the instructions to pick out the necessary mounting hardware. One thing to note, was that I was unable to mount it for front-to-back air flow and instead had to go for left-to-right, due to the mounting design on my (old) motherboard (asustek m4a78lt-m-le).
Using CPUID HWMonitor to look at the temperatures, idle is reported at 16-18'C and current maximum temps running Prime95 for 30 mins were 38'C.
Fan is nice and large, enabling it to run at a slower speed thus keeping noise to a minimum and is indeed impossible to hear anything from it over the GPU fan.
